This Non-Disclosure Agreement (“Agreement”) is entered into between Best Day Shirts (“Company”), and any visitor, customer, or business partner (“Recipient”) who accesses or engages in business through our website, bestdayshirts.com (the “Site”). This Agreement is intended to protect the confidential and proprietary information of the Company, including but not limited to designs, techniques, business practices, and customer data.

  1. Definition of Confidential Information
    Confidential Information includes, but is not limited to:

Original t-shirt designs, artwork, sketches, templates, concepts, and branding.
Custom design requests from customers, including personalization details.
Supplier information, pricing, and sourcing strategies.
Marketing plans, strategies, and sales data.

  1. Ownership of Designs
    All designs, artwork, branding, and content displayed or sold through the Site are the exclusive property of the Company. The Company retains all rights to these designs and content.

By accessing or purchasing from the Site, the Recipient acknowledges that they have no ownership or claim over any designs or intellectual property rights of the Company.
No person or entity may reproduce, distribute, or otherwise use any designs or content from the Site without the Company’s prior written consent.
The Company reserves the exclusive right to modify, display, and sell its designs, and any unauthorized use will be considered a breach of this Agreement.

  1. Intellectual Property Rights
    The Recipient agrees not to file any lawsuit, claim, or legal action for intellectual property infringement related to any designs, artwork, or content on the Site. The Company ensures that all designs presented are either original works or used with proper authorization. Any claims of infringement by third parties will be resolved by the Company at its discretion.
  2. Confidentiality Obligations
    The Recipient agrees to maintain the confidentiality of the Company’s business practices, customer data, and design processes, and not to disclose any such information to third parties without the prior written consent of the Company.
  3. Term and Termination
    This Agreement remains in effect for as long as the Recipient has access to the Site or any related business dealings with the Company. Any breach of this Agreement will result in legal action and potential penalties as permitted by law.
  4. Governing Law
    This Agreement is governed by and construed in accordance with the laws of Houston, Texas, and any disputes arising from this Agreement shall be resolved in the courts of Houston, Texas.
